Bylaws

Article 1 – Name and Purpose

Section 1. The name of this club shall be the “Mustang Club of West Virginia, Inc.”

Section 2. The purposes of this club are:

  • To stimulate and advance the interest in the 1964 / through current-year Ford Mustangs and all vehicles manufactured by Ford, Lincoln and Mercury
  • To provide a medium for the exchange of ideas on preserving the Ford Mustang and all Ford, Lincoln and Mercury vehicles
  • To develop a fraternal spirit among local Ford Mustang and Ford, Lincoln and Mercury vehicle owners and other automotive-related interests
  • To serve the interest of Mustang and Ford owners
  • To defend such owners against discriminatory legislation, regulation and other laws detrimental to the car hobby
  • To own or lease property for club uses
  • To perform all desirable and lawful functions for the successful operation of the club and in the general public interest.

Article 2 – Membership

Section 1. Members in the club shall consist of the following status:

a.  Active members
b.  Temporary and Lifetime members

Section 2. Active membership is available to all Mustang and Ford owners and enthusiasts without regard to sex, race or religious beliefs. Active membership shall extend to all members of a cohabiting family. Family shall be defined as members age 18 and under. Family members over the age of 18 must achieve active membership status as an individual.

Section 3. A person shall immediately become a member upon payment of the required dues.

Section 4. A member may resign from the club at any time upon written notice to the club Secretary.

Section 5. Any member may be removed from the club by the affirmation vote of two-thirds of the club membership. Club officers shall determine method to secure membership vote. Termination of any member shall not release said member from obligation to pay all dues and other amounts owed to the period of membership.

Section 6. At the recommendation of any club member, and approved by a majority of members attending a regular club meeting, a member may be nominated to receive “Lifetime” or “Temporary” membership status. Lifetime status gives the approved member membership to the club as long as he or she desires to remain so. The Lifetime member is exempt from all club dues for the remainder of his or her membership. A Temporary member will be for the remainder of the current fiscal year or as defined at the time of the approval vote.

Article 3 – Dues

Section 1. Dues for membership in the club will be payable annually and are due the first month of the year.

Section 2. Membership dues will be set by the membership of the club at annual business meeting with the majority of members attending approving. Any dues paid the club will not be refunded.

Section 3. Members not paying dues by the end of the second month will be “Invoiced” for the amount of dues owed. Failure to pay dues will cause the member to lose all rights and benefits offered by the club and will not be carried as an “Active” member on club roster.

Section 4. Members joining the club during the months of September, October, November or December, their membership will be paid through the following calendar year. Example, a member pays dues on October 5, 2000, their membership will be paid through remainder of 2000 and all of 2001 (expire January 2002).

Article 4 – Fiscal Year

Section 1. The fiscal year of the club shall commence on the first day of January and end the last day of December each year.

Article 5 – Management

Section 1. The management of the club will be at the direction of club officers with approval of the majority of members attending a regular meeting.

Section 2. Special items needing approval during “non-meeting” times, the club officers may conduct a “telephone vote” of club members with the majority of members voting in the positive for the proposed issue.

Section 3. Financial commitment to the club’s treasury shall be limited to the following amounts; active members – $20.00, club officers – $50.00, and any amount over $50.00 with approval of the majority of members attending a regular meeting.

Article 6 – Officers

Section 1. The officers of the club shall be President, Senior Vice President, Executive Vice President, Assistant Executive Vice President, Secretary and Treasurer. The same person may hold the offices of Secretary and Treasurer.

Section 2. The officers shall be elected from the membership of the club. The majority of members, while attending an annual business meeting, will determine term of office. Any officers may be removed from office by the affirmation vote of two-thirds of the club membership.

Section 3. The President shall preside at all meetings of the club; shall oversee and coordinate such committees as are authorized by the club membership, and shall carry out those responsibilities assigned to him or her by these Bylaws and by the club membership.

Section 4. The Senior Vice President, during the absence or temporary incapacity of the President, shall perform the duties and have the power of the President. The Executive Vice President, during the absence or temporary incapacity of the Senior Vice President, shall perform the duties and have the power of the Senior Vice President. The Assistant Executive Vice President, during the absence or temporary incapacity of the Executive Vice President, shall perform the duties and have the power of the Executive Vice President. The Vice Presidents shall oversee “special projects” as determined and approved by the majority of members attending a regular meeting or deemed necessary to move forward and meet current and long-term goals of the club.

Section 5. The Secretary shall keep all club records, except financial records, including minutes of meeting, roster of members, lists of committees and their members, shall send out notices of meetings, receive applications for membership and discharge the usual secretarial functions of the office required by these Bylaws.

Section 6. The Treasurer shall keep all financial records of the club and have charge of its funds. He or she shall disburse such funds of the club under the direction of the club membership, club officers and these Bylaws. A Treasurer’s report shall be prepared for each Annual Meeting, and club officers will conduct an annual audit.

Section 7. All officers shall have such other powers and duties as required by law.

Article 7 – General Membership Meetings

Section 1. The Annual Meeting of the members of the club shall be held the first month of the year with the place designated by the club membership.

Section 2. Regular meetings of the members of the club shall be held twice a month, the first meeting will be held the first Sunday of each month and the second meeting held the third Tuesday of each month at the time and place fixed by resolution at a regular club meeting.

Section 3. Members attending regular meetings will conduct themselves in a fashion conducive to the family atmosphere in which the club operates.

Section 4.  Special meetings of the club may be called by the club officers or by any group of 5 or more active members by giving adequate notice (five business days) of the time, place and purpose of special meetings.

Section 5. Written notices of the time and place of the Annual Meeting and all other meetings of the membership shall be prepared and distributed to the membership by the Secretary.

Section 6. The active members present at any duly called meeting shall constitute a quorum. Amy formal action taken at any meeting of the membership shall require a majority vote of those active members present. Each active member age 18 and older shall be entitled to one vote.

Section 7. A member not attending a regular meeting may direct his or her vote to one of the club officers prior to the meeting.

Article 8 – Amendments

Section 1. These Bylaws may be amended by the affirmation vote of a majority of the active members of the club at the Annual Meeting or at any meeting of the club, provided thirty (30) days’ notice of intent to amend is published.
